Job Description: MINIMUM QUALIFICATIONS: Education: Bachelor's degree in healthcare administration, business administration, or related field or equivalent years of comparable work experience and education. Master's degree preferred in healthcare administration, business administration, or related field. Certification/Registration/Licensure: N/A Experience: A minimum of 7 years of experience in healthcare administration, management, or business development. POSITION SUMMARY: The Director of M&A and Business Development leads, plans, directs and collaborates with AST/SLT and service line leaders on all aspects of growth through, M&A and business development, through mergers, acquisitions, affiliations, joint ventures, partnerships, divestitures (all known as M&A) and all Business Development initiatives and programs for the system. The Director also owns and maintains the overall enterprise level growth pipeline which includes M&A, business development and innovation activities. In addition, the Director owns the P&L. The director will also own, lead and administrate the enterprise's community investment fund. The Director facilitates, organizes and project manages the M&A process including pre-diligence, LOI formation, formal due diligence, definitive agreements and integration planning. The Director is responsible for maintaining and continuously improving the M&A and business development enterprise framework and associated operating models. Additionally, the Director has system wide business acumen and leadership skills to effectively work with the growth council, senior leaders and new acquisition/partner leaders to ensure the M&A and business development operating models are meeting the organizations business needs and outcomes. The Director leads continuous analytics needed to facilitate, with the strategy department, growth strategic planning assessments with important financial implications and recommendations for senior leadership. ESSENTIAL JOB DUTIES/MAJOR RESPONSIBILITIES: Gathers, oversees, screens and evaluates M&A and Business Development opportunities (including community investment funding opportunities), development of growth pipeline and process, execution of transactions including valuation and due diligence, negotiation, deal summaries and approvals at the growth council, SLT, finance committee and board levels. Assists in the creation and execution of both long and short-term growth strategic priorities and plans, analyses and makes recommendations relating to emerging healthcare trends, expansion, M&A opportunities, and competitive dynamics. Creates a playbook of how to execute and accomplish the organization's strategic growth goals. Partners with organizational leaders to assess potential growth and expansion opportunities and priorities. Actively manages the growth pipeline, evaluates complex partnership, JV or acquisition models and selects the optimal model for each strategic opportunity. Leads target evaluation process for operational feasibility and supports business case development. Provides input and leadership for definitive deal documents (e.g., IOI, LOI, purchase agreement). Delivers regular updates to growth council, leadership and executive teams regarding the growth pipeline, new deal progress, key issues/risks, and next steps. Facilitates and supports early stages of due diligence for active targets. Supports and/or partners with cross-functional internal stakeholders, ensuring alignment across enterprise. Supports all regional operations market development needs to meet the system's 5- and 1-year goals Leads and mentors a group of Business Development and M&A professionals in the Organizational/System/Corporate Development team. Demonstrates a high degree of integrity and strong moral and ethical standards. Demonstrates excellent verbal and written communication skills, strong presence in front of senior executives. Utilizes Continuous Quality Improvement principles and platform planning in decisions, improvements, and system design. Organizational Leadership -- Provides leadership and accomplishes objectives by ensuring the integration of processes and initiatives while modeling collaboration. Participates and supports in brand/service delivery teams as requested.
