POSITION OVERVIEW

The Senior Legal Counsel, Investments and Specialized Financing, supports the Assistant Vice-President, Legal Affairs and collaborates with other legal counsels as part of a dedicated team of investment and transactional legal professionals who collectively support the venture capital (funds and direct equity investments), growth equity, as well as the subordinated and structured financing activities of BDC and its subsidiary BDC Capital.

The candidate for this position must have significant legal experience and expertise in venture and growth capital direct equity investments, with experience in venture and private equity fund investments considered an important asset. In addition, the candidate must be a highly collaborative and engaged team member, embrace a culture of calculated risk taking, continuous improvement and innovation, demonstrate a strong business-oriented approach and possess effective negotiating skills.

This position is open to candidates based in Montreal or Toronto.

CHALLENGES TO BE MET

  • As part of a dedicated investment and transactional legal team, work with the various internal partner teams to provide clear, practical and timely legal advice on various investment matters and/or internal projects;

  • Accompany internal clients and negotiate certain business-related agreements in complex transactions or strategic partnerships;

  • Coordinate and direct, as required, external lawyers mandated by BDC in the course of its activities;

  • Conduct research on various legal issues relevant to the business;

  • Provide support, coaching, training and guidance to internal clients.

WHAT WE ARE LOOKING FOR

  • University degree in law;

  • 5 or more years of relevant experience in transactional law (particularly in venture capital, growth or private equity), with experience representing institutional investors considered an asset;

  • Member of the Quebec Bar, Law Society of Ontario or equivalent qualification from any other Canadian province;

  • Strong analytical, organization and negotiation skills;

  • Highly collaborative and strong interpersonal skills;

  • Ability to analyze and synthesize complex and ambiguous information to provide actionable, business-oriented legal advice

  • Able to quickly gain credibility with business partners;

  • Be proactive in your work environment;

  • Excellent judgment and creative problem-solving skills;

  • Bilingualism in speaking and writing (English and French) considered an asset.
