We have a job opening and exciting opportunity for a full-time Senior Counsel in our Tiffin, OH location. The primary role of the Senior Counsel is a position that will provide timely, accurate, and relevant advice on legal topics that relate to our business and provides guidance on all contract, compliance, and risk management issues.

Essential Functions:

  • Draft, review, and negotiate a wide range of commercial agreements and contracts, including but not limited to vendor agreements, service agreements, licensing agreements, non-disclosure agreements, and lease agreements.
  • Provide legal advice and guidance to senior management and other internal stakeholders on matters related to contract law, intellectual property, regulatory compliance, and other relevant legal areas.
  • Develop and implement best practices and processes for contract management, including the establishment of standard templates, negotiation guidelines, and approval procedures.
  • Collaborate with cross-functional teams, including sales, finance, human resources, and operations, to ensure that contracts align with the company's strategic objectives and risk appetite.
  • Stay current on relevant industry laws, regulations, and best practices, and provide training and education to internal stakeholders as needed.
  • Manage external legal resources, including outside counsel, as required for specialized expertise or overflow capacity.
  • Oversee the resolution of contractual disputes, working closely with internal and external legal counsel, as appropriate.
  • Assist in the development and execution of corporate legal strategies and initiatives.
  • May require minimal travel up to 5%.
  • Other duties as assigned.

What You will Need to be Successful:

Juris Doctor (J.D.) degree from an accredited law school required or combination of education and experience in a related field. 

Ohio bar admission in good standing.

A minimum of 5 to 10 years of experience practicing law, with a focus on contract law and commercial transactions. Prior experience in a corporate legal department or as in-house counsel is strongly preferred.

Demonstrated expertise in drafting, reviewing, and negotiating complex commercial agreements, with a proven track record of success in managing risk and driving business results.

Excellent communication and interpersonal skills, with the ability to clearly explain complex legal concepts to non-legal stakeholders.

Strong analytical and problem-solving skills, with the ability to identify legal issues and provide creative, practical solutions to business challenges.

Detail-oriented and highly organized, with the ability to manage multiple priorities and deadlines in a fast-paced environment.
