Meet the Team
You will join a team of compliance professionals as a Program Manager on the International Corporate Legal Affairs team within Cisco’s Corporate Legal group. Would you like to work in a dynamic in-house legal department that is using technology to transform both its own legal department and how the law is practiced around the world? You will work closely with various teams to have an immediate impact with your analytic rigor, business judgment, and ability to get things done.
Your Impact
This critical role helps support the establishment and maintenance of new and existing legal entities and compliance obligations outside of the United States in furtherance of Cisco’s global business. In addition, you will work on the integration of acquired legal entities around the world.
Lead projects and participate in cross-functional teams relating to legal compliance, acquisition integration, legal entity incorporations, mergers, dissolutions and restructurings such as share and asset transfers, tax and other restructurings, etc.
Draft, review and approve corporate documents, such as board and shareholder resolutions, powers of attorney, etc. including assisting with the formation of new legal entities, granting of signing authorities (Powers of Attorney), changes to the board of directors, registered address changes, and the development and execution of detailed step plans to establish legal entities and operations in new markets within EMEA, APAC and the Americas.
Coordinate with a third-party team of seasoned professionals who handle the day-to-day responsibilities of the Cisco legal entities’ statutory compliance worldwide and who maintain electronic minute books and other corporate documentation.
Coordinate with cross-functional teams and key contacts around the globe, providing leadership in support of international operations to ensure consistency while minimizing business and legal exposures.
Work directly with local counsel in your assigned jurisdictions.
Manage outside counsel spend, budgeting and reporting relating to projects you are directly involved in.
Minimum Qualifications
B.A. or equivalent experience, excellent academic credentials.
5+ years of paralegal or similar experience, preferably with both a top-tier law firm and an in-house legal department.
Significant experience in managing international corporate entities and related corporate governance matters.
Excellent analytical skills, with a strong ability to draft and review legal documents, analyze legal advice and apply legal advice to business needs.
Must be able to manage numerous projects simultaneously under deadline pressure.
