Robert Half Corporate Paralegal in San Francisco, California

Description We are offering an exciting opportunity for a Corporate Paralegal in San Francisco, California. This role is integral to our team, where you will be tasked with a variety of responsibilities ranging from processing legal documents to maintaining electronic files and archives. This role is based in the industry.

Key responsibilities:

• Accurately processing and drafting foundational corporate and governance documents, such as incorporation documents, board and shareholder actions, and third-party agreements.

• Assisting in the administration of stock incentive programs.

• Maintaining capitalization records utilizing Carta.

• Providing extensive support for financings and mergers and acquisitions, including setting up data rooms, preparing signature packets, and making securities filings.

• Creating closing volumes for business transactions.

• Engaging in communication with clients, filing agents, and vendors.

• Ensuring the maintenance of electronic files and hard-copy archives.

• Utilizing skills like Aderant, Adobe Acrobat, Automated City Register Information System (ACRIS), Case Management Software, CompuLaw, Billing Functions, Briefing, Calendar Management, Claim Administration, and Communication.

• Handling corporate governance tasks and digital signatures. Requirements

• Experience with Case Management Software

• Knowledge of Billing Functions

• Ability to conduct Briefing sessions

• Proficiency in Calendar Management

• Experience in Claim Administration

• Excellent Communication skills

• Previous experience as a Corporate Paralegal

• Knowledge of Corporate Governance principles

• Ability to handle Digital Signature
