PNC Senior Counsel - Regulatory Affairs in Pittsburgh, Pennsylvania

The Regulatory Counsel (Senior Counsel) will work in the Legal Department, reporting to the Deputy General Counsel, Regulatory Affairs, as a member of the Regulatory Affairs Legal team. This role will provide bank regulatory legal advice within PNC focusing on laws and regulations impacting financial services firms including in particular state and federal environmental, social and governance (ESG) laws and regulations, including in the area of climate risk and disclosure, and state and federal anti-ESG laws, including in the area of fair access.

This position is primarily based in a PNC location out of Pittsburgh, PA. Responsibilities require time in the office or in the field on a regular basis. Some responsibilities may be performed remotely, at manager’s discretion.

Responsibilities:

• Providing bank regulatory legal counsel on a wide array of statutes and regulations governing PNC’s business and operations, including those at the bank, the holding company and their affiliates;

• Ensuring that PNC is in line with industry best practices for a top-tier bank, in its approach to understanding and complying with regulatory guidance;

• Providing thought leadership and support to PNC’s regulatory strategy and relationships in conjunction with Government Affairs and other Legal Department colleagues;

• Establishing and cultivating direct relationships with relevant state banking departments as may be needed to ensure PNC is in line with any applicable state laws ;

• Advising senior management on key regulatory issues and trends and on how to proactively manage regulatory issues and relationships, which currently also include state and federal ESG and anti-ESG laws and regulations ;

• Assisting in the formulation of policy responses (including comment letters) to new state regulations and guidelines that impact PNC. Day to day activities would include meeting with PNC’s lines of business (including Retail, Mortgage, Corporate & Institutional Banking and Asset Management) and enterprise functions (Risk, Compliance, ALM and Finance) to formulate policy priorities, interacting with trade associations, including state bankers associations, to advance PNC's policy priorities, drafting comment letters to regulators on new rulemakings, meeting with regulators to explain PNC’s policy positions, and preparing executives to meet with staff of various government agencies.

• Providing legal counsel for working groups established to guide and manage the implementation of new regulations and guidelines;

• Working cooperatively with leaders from Compliance and Audit; and

• Providing specialized expert legal advice and counsel to senior attorneys supporting the lines of business, as well as management in those areas, on a wide array of bank regulatory issues in support of the company’s efforts to achieve its business goals in compliance with law and regulation.
