In this high-visibility, growth-oriented position, we seek a Merger & Acquisition Analyst to play a key role in the UES corporate development team. UES is a private equity backed organization, that has successfully completed 24 M&A transactions over the past four years and is looking to accelerate its acquisitive growth. Core Responsibilities:

  • Analyze historical and current financial data to understand potential target companies’ financial performance, current trends and potential.

  • Prepare detailed recast historical data analyses on potential targets and develop forward looking financial projections to support organizational decision making.

  • Analyze the potential fit of M&A targets strategically, financially and culturally within the context of a potential business combination with UES.

  • Analyze potential returns, required cash needs and the potential financial and tax ramifications arising from varying deal structures.

  • Review target firm performance against industry and company benchmarks.

  • Analyze and report on relevant industry trends relevant to UES, potential targets and helping to guide M&A strategy as to the firms/markets/strategies to be pursued.

  • Evaluate target firm historical and future capital expenditures and depreciation.

  • Analyze and identify gaps and weaknesses where potential exists to improve target company profit margins.

  • Analyze and identify potential revenue and expense synergies when considering the potential business combination of M&A target firms with existing UES operations.

  • Track current target firm financial data to alert stakeholders in case of deviation during the M&A process.

  • Study both company data, and industry-specific research, to evaluate and predict trends and risks.

  • Prepare detailed reports and presentations that enable management teams to make strategic decisions to meet business goals.

  • Assist the M&A team in cultivating relationships with, and advancing the M&A process with, potential target firms.

  • Write and develop Indications of Interest, Letters of Intent and other transaction related documentation used in M&A transactions.

  • Work with multi-functional internal and external teams in the performance of due diligence pre-closing and the transition to integration post-closing.

  • Assist in the maintenance of M&A databases.

  • Conduct ad-hoc analysis and special projects as needed.

Skills and Attributes:

  • First-class communication skills, written, verbal, and in the preparation of presentations.

  • Computer literate with knowledge of Microsoft Office, Email, and CRM tools. Proficiency in the use of Excel and Power Point is important.

  • Strong business acumen and the ability to adapt to the M&A and Corporate Development team's needs.

  • Drive and determination to see work through to its completion.

  • Ability to work independently and as part of a team.

  • Strong attention to detail and accuracy.

  • Must possess excellent organizational and time management skills.

  • Ability to manage multiple projects and meet deadlines.

  • Strategic thinking and organizational skills.

  • Individuals must be capable of understanding and maintaining confidential information.

  • Proactive and self-motivated with a strong work ethic.

  • Positive and 'Can Do' attitude.

Qualifications:

  • Bachelor’s degree, preferably with a major in finance, economics, accounting or statistics.

  • An MBA is preferred but not required.

  • 2 – 4 years of experience in financial analysis, M&A, investment banking, management consulting, corporate finance and/or related fields/areas of expertise.

  • Strong financial, modeling and analytical skills.

  • Proven proficiency in spreadsheets, databases and financial software applications.

  • Excellent reporting, presenting, report writing and communication skills.

  • Proficiency in Microsoft Excel, Power Point and financial analysis software.

  • Understanding of Generally Accepted Accounting Principles.

  • Ability to work with large datasets and/or market data.

  • Proven analytical and financial modeling skills.

  • Experience with M&A transactions and integration processes is a plus.

  • Proficiency in reading, reviewing, understanding and drafting/editing basic legal documentation.
