Provide advisory legal services and manage aspects of corporate transactions relating to intellectual property, technology, privacy, data protection and cybersecurity. Supervise midlevel and junior associate attorneys and paralegals in conducting intellectual property (including patents, trademarks, copyrights, Internet domain names, trade secrets and software, collectively, “IP”) and privacy due diligence and preparing diligence memoranda in connection with various corporate transactions, including mergers and acquisitions, capital markets and financing transactions. Review and provide feedback on midlevel and junior associate attorneys’ work product and provide training and mentorship. Draft, review, negotiate and counsel clients with respect to IP, technology, privacy, data protection and cybersecurity aspects of principal and ancillary transaction documents for various corporate transactions (including mergers and acquisitions, capital markets and financing transactions), as well as standalone agreements for private equity firms, portfolio companies, strategic companies and other U.S. and foreign public and private clients; lead calls and meetings with clients and/or opposing counsel, as applicable, relating to the above agreements, documents and other aspects of the transaction. Provide legal advisory services to clients, including negotiating standalone agreements, legal and regulatory compliance, and analyzing significant legal and business considerations, relating to IP, technology, privacy, data protection and cybersecurity, including revising client policies/procedures and prosecuting U.S. trademarks. Work with firm’s litigators on actual and potential disputes involving IP, technology, privacy, data protection and cybersecurity.Requires Juris Doctor or Master of Laws degree, or foreign equivalent. Must have three years of experience as an attorney in IP, privacy, data protection and technology (including cybersecurity) aspects of corporate transactions, including complex mergers and acquisitions, capital markets transactions and financing transactions. Experience must include conducting due diligence, as well as drafting IP, technology, privacy, data protection and cybersecurity sections, as applicable, of the following types of documents: diligence memoranda, merger, equity and asset purchase agreements (and related disclosure schedules), transition services agreements (and related exhibits, including data processing addenda), invention/intellectual property assignment agreements, license agreements, covenants not to sue and other ancillary transaction documents; and privacy policies, employee/contractor invention assignment agreements, master services agreements, license agreements (including complex cross-licenses), collaboration/development agreements, settlement/co-existence agreements, data processing agreements and other strategic agreements.Must be licensed to practice law in New York.
