Established and growing firm is searching for a dynamic and motivated Attorney with a knack for mergers and acquisitions. The firm is known for providing top-quality services and enhancing the business value of the clients. The practice is eagerly seeking an M& A Attorney who can navigate through complex M& A transactions, litigations, negotiations and maintain client relationships. The ideal candidate will have a record of proven success in dealing with corporate transactions and adversarial proceedings. This position is 100% remote, however candidates with Bay Area M& A experience are preferred.

Responsibilities:

  • Spearhead M& A transactions, including negotiations, due diligence investigations, and closing transactions.

  • Provide counsel to clients on M& A legal risks, legal aspects of deal structuring, deal terms, and negotiation strategies.

  • Draft, review, and negotiate a broad range of legal documents related to M& A, including letters of intent, purchase and sale agreements, shareholder agreements, and ancillary closing documents.

  • Represent and advocate for clients in litigious circumstances, if necessary.

  • Collaborate with team to meet clients’ needs, regularly communicating with them and ensuring their satisfaction.

  • Keep up to date with current regulations, laws, and industry standards.

    Requirements

Qualifications:

  • Juris Doctor (JD) degree from an ABA-accredited law school.

  • Minimum of 5 years' experience in M& A transactions, ideally those involved in potential litigation or related to bankruptcy.

  • Current license to practice law in any US jurisdiction; CA Bar licensed preferred.

  • Proficient in areas of corporate law, particularly M& A transactions.

  • Outstanding negotiation and communication skills.

  • Excellent problem-solving, analytical, and organizational skills.

  • Ability to handle multiple assignments simultaneously, with effective resolution of conflicting priorities.

  • Ability to develop and maintain strong relationships with clients while understanding their needs.

  • Requires the strategic acumen to guide complex transactions, coupled with an ability to execute the tactics necessary to accomplish the best outcome for the client.
