The SVP, Legal, Executive Compensation, Benefits & Employment will provide advice and counsel to colleagues and Business Partners across the Human Resources operating model on executive compensation and benefits matters, as well as acting as the leading counsel on employment matters.

The SVP, Legal, Executive Compensation, Benefits & Employment will ideally be based on the East Coast of the United States and will report directly to the Senior VP & Corporate Secretary. In this role, you will lead with the highest level of integrity, business and personal ethical standards in all aspects of job performance.

Key Accountabilities:

  • Provide support in areas of executive compensation and related governance. Duties will include advising on executive compensation disclosures and related securities filings (e.g., S-8, 8-K, proxy statement).

  • Participate in Compensation Committee meetings, present on relevant legal topics and function as secretary to the Committee.

  • Manage the filing of insider transaction reports, advising on insider trading compliance and related federal securities laws.

  • Provide legal support related to the design and operation of health and welfare plans, including related to HIPAA and the Affordable Care Act compliance; & defined contribution plans, both qualified and nonqualified and serve as secretary and counsel to Otis’ fiduciary benefit plan committee.

  • Supply timely legal support for HR and benefits for matters throughout the employee lifecycle, including in matters related to new hires, in-service employees, and departures.

  • Review plan documentation and participant communications.

  • Draft and negotiate employment and separation agreements.

  • Negotiate service provider agreements.

  • Provide support with pay equity, human capital management and other initiatives and support ESG regulatory compliance.

  • Establish and maintain relationships, credibility and trust with clients, stakeholders, legal team members and other colleagues/ business partners.

Experience & Qualifications:

  • Juris Doctor from an accredited law school is essential.

  • Extensive experience at a nationally recognized law firm, in house legal department for a publicly traded company or ideally a combination of both.

  • Comprehensive understanding of ERISA and tax laws that impact executive compensation, including Section 409A of the Internal Revenue Code.

  • Thorough knowledge of federal securities law that pertain to executive compensation.

  • Specific experience in the following areas: executive compensation plans (including deferred compensation plans and equity compensation plans), defined contribution plans, welfare plans, employment agreements and separation agreements.

  • Strong collaboration skills and team oriented.

  • Advanced interpersonal and communication skills, including the ability to clearly and concisely present recommendations.

  • Strong attention to detail and organizational skills.

  • Demonstrated leadership capabilities, managing multiple priorities while consistently meeting time-sensitive deadlines.

  • Ability to thrive in a fast-paced environment.

Salary & Benefits

The salary range for this role is USD $320k - $360k. We may ultimately pay more or less than the posted range, and the range may change in the future. Pay within the salary range will be based on several factors including, but not limited to, relevant education, qualifications, certifications, experience, skills, seniority, geographic location, performance, and business or organizational needs.

This position is eligible to participate in our annual executive short-term Incentive plan and is eligible to receive equity awards under the Otis executive long-term incentive plan.
