TIAA MD, Associate General Counsel in Dallas, Texas
This position reports to the General Counsel, Technology/Digital/Operations/Shared Services (“TDOSS”), and Enterprise Chief Privacy Officer. This position will play a pivotal role in spearheading strategic TDOSS transformation initiatives across the enterprise, in addition to providing general legal support and guidance concerning data protection, artificial intelligence (“AI”) and privacy matters. This position is responsible for providing visionary leadership, direction, and oversight on day-to-day matters as well as the transformation projects, ensuring alignment with organizational objectives and long-term goals.
Key Responsibilities and Duties
Provide strategic legal counsel on enterprise TDOSS transformation initiatives, including recordkeeping modernization, technology adoption, and organizational restructuring.
Develop and implement legal frameworks for change control processes, ensuring smooth integration of contractual adjustments during large-scale transformation projects.
Serve as a trusted advisor to executive leadership, offering insights on the legal implications of strategic business decisions and TDOSS transformations.
Collaborate with cross-functional teams, including TDOSS, procurement, and compliance, to ensure alignment of legal strategies with business transformation objectives.
Manage external counsel and cross-functional legal teams, ensuring efficient delivery of legal services for complex transactions and strategic initiatives.
Drive the legal aspects of sourcing, negotiating, and drafting contracts with TDOSS vendors, including RFP processes, AI tools, SaaS agreements, and cloud services for strategic transformation projects.

Required Qualifications:
Demonstrated expertise in managing complex projects, driving TDOSS transformations, and leading multidisciplinary teams.
Strong analytical, interpersonal, and problem-solving skills with a results-oriented approach.
Excellent communication and negotiation skills to draft and review contracts, technology and related TDOSS agreements, and compliance documentation.
Strong collaboration skills to work effectively with cross-functional teams, including TDOSS, compliance, procurement, and external stakeholders.
Demonstrated expertise in managing large-scale RFP processes, including providing legal support for proposal evaluations, vendor selection, and contract finalization.
Understanding of data protection and privacy laws, recordkeeping systems, and compliance frameworks.
Familiarity with legal and operational aspects of emerging technologies, including artificial intelligence, machine learning, and data analytics.
Knowledge of AI-related legal issues, such as intellectual property rights, data privacy, bias, ethical use, and compliance with AI governance frameworks.
Hands-on experience leading negotiations and drafting contracts for technology vendors, including software-as-a-service (SaaS) providers, AI vendors, and cloud solutions providers.

Base Pay Range: $195,000/yr. - $265,000/yr.
Actual base salary may vary based upon, but not limited to, relevant experience, time in role, base salary of internal peers, prior performance, business sector, and geographic location. In addition to base salary, the competitive compensation package may include, depending on the role, participation in an incentive program linked to performance (for example, annual discretionary incentive programs, non-annual sales incentive plans, or other non-annual incentive plans).
