Job Scope:
Coordinates processing of title examinations on loans to ensure timely closings. Examines title to real property by reviewing title abstracts or title insurance to determine and ensure a first lien status and/or required lien status for the Association. Review non-routine loan servicing items and prepare loan workout documentation.
Works to protect association's legal interest and to ensure management is aware of the applicability of laws and regulations that impact or govern the Association's operations. Provide counsel to all levels of association's personnel. Responsible for analyzing legal issues and presenting recommendations.
Education and Experience Requirements:
Juris Doctor degree from an accredited law school with a license to practice law in the State of Texas. Requires 2-5 years of real estate transactional experience. In addition, experience in mortgage lending foreclosure and/or contract law is required.
Skill Requirements:
Specialized knowledge in areas of law pertaining to real estate, mortgage lending/foreclosure and contracts, including debtor/creditor relationship; truth-in-lending; RESPA; ECOA; consumer credit protection; security interests; and bankruptcy. Specialized knowledge of the Farm Credit Act and regulations. Ability to review a CTI and identify and propose changes to the CTI. Be able to prepare the needed documents to close a transaction and have experience in preparing loan documentation. Be proficient in Article 9 and experience preparing UCC-1s and UCC-3s. Experience in Farm Credit, lending, title work and litigation and/or bankruptcy and a working knowledge of Dodd-Frank and the new CFPB regulations is strongly preferred. Ability to conduct legal research using electronic and/or manual sources. Familiarity with corporate and employment law. Skill in oral and written communication. Intermediate skill level in Microsoft Office applications.
Essential Functions:
- Provides legal representation to the association for the protection of material interests and management of litigation on long and short-term loans. Oversees and provides legal counsel and legal advice and recommends and approves solutions and courses of action to affect the timely closing of loans.
- Reviews new regulations and/or laws related to the loan closing process and advises senior management as to operative changes necessary to achieve compliance.
- Oversees design and content of legal forms and revisions to existing forms in response to changes in regulations and policies; monitoring of applicable federal and state statutes, legislation, court decisions and regulations as they relate to operation of the association.
- Reviews and evaluated title examination work of outside attorneys and the performance of Association title and legal requirements and implements necessary corrective measures.
- Directs and prepares pleadings, briefs, discovery and motions for conducting trials, hearings and appellate proceedings involving the Association.
- Assists in handling the legal requirements of association mergers and other forms of associatio restructuring and territorial changes, including disclosures to stockholders.
- Reviews and evaluates work of outside attorneys and the performance of association legal function and implements necessary corrective measures. Supervises and directs outside counsel in conducting litigation, workouts, documentation, negotiations, settlements and other legal matters for the association as required.
- Directs preparation of content for reports involving material litigation provided to the board of directors.
- Directs the review and/or drafting of contracts involving the association and recommends courses of action to the appropriate association staff.
- Assists in preparation and completion of documents for acquired property sales and loan transactions as required.
- Confers with Loan Committee as needed.
- Confers with loan officers regarding legal issues surrounding loans.
