Responsible for reviewing, drafting, and negotiating supplier contracts between Truist entities and external suppliers and service providers. Provide guidance and effective challenge as a first line of defense control function for the implementation of processes and the negotiation of the corporation’s contracts with its suppliers.
- Following is a summary of the essential functions for this job. Other duties may be performed, both major and minor, which are not mentioned below. Specific activities may change from time to time. 1. Prepare, analyze and negotiate various agreement types including: Statements of Work, Schedules, Software as a Service Agreements, Software Licensing Agreements, Hardware Acquisition and Support Agreements, Amendments, Change Orders and Non-Disclosure Agreements. Represent Truist in negotiations with external suppliers and supplier’s legal or contract representative. 2. Work closely with legal, sourcing and risk experts to ensure sourced supplier contracts are structured with appropriate risk allocation provisions and mechanisms to assure the supplier’s performance meets Truist’s business objectives within the agreed costs and schedules. 3. Work within the framework of regulatory guidance and company policies to ensure supplier contracts are compliant with law and regulation, and within Truist risk appetite.4. Maintain a strong working knowledge of internal guidelines related to supplier contracts, and customize contract language within those guidelines to address specific business issues. 5. Escalate complex legal issues to Truist Legal and assist in resolution. 6. Interpret contractual language and advise stakeholders on legal and commercial risks, along with best practices for risk mitigation. 7. Provide authoritative guidance to internal business teams on corporate goals and objectives relating to contract activity. 8. Draft contract summaries detailing material deviations from Truist standards. 9. Host meetings with Service/Supplier Manager to review contract summaries and ensure the end-user’s understanding of business and legal terms, including service levels.10. Develop and maintain strong relationships with internal clients, sourcing teammates, Truist Legal, and suppliers to advance negotiation strategy for supplier contracts. Bachelor’s degree and 5 years related experience; Master’s degree or J.D. and 2-3 years of related experience 2. Proven ability to work in a fast-paced environment, managing a high volume of work in a timely manner 3. Legal aptitude and understanding of relationships between and among contract provisions4. Strong relationship management skills and the ability to gain trust and confidence of senior leaders within organization 5.
