The position of Corporate Counsel will represent SCA Health and its affiliates in a variety of legal matters. This candidate will be remote or hybrid preferably in the area of either Birmingham, Alabama or Pasadena, California.
The candidate will assist in providing accurate, constructive and timely legal advice and support for the groups of surgical facilities across the U.S. This position is a generalist role, with a focus on corporate, contract, and health care law as well as mergers and acquisitions.
Primary Responsibilities:
Advise facilities across the U.S., advising on various legal matters which arise from time to time in the context of the management and ownership of outpatient surgical facilities jointly owned with physicians, hospitals, and/or health plans
Draft, review and negotiate contracts, including partnership agreements, limited liability company (“LLC”) operating agreements, and facility vendor agreements
Provide legal support and advice on handling partnership, LLC, joint venture and corporate transactions, including repurchase of ownership interests from physicians and amendments to limited partnership agreements and LLC operating agreements
Coordinate and assist in managing outside counsel on various matters, including mergers and acquisitions, divestitures, regulatory compliance, antitrust and real estate
Assist with other projects as needed, such as researching state law, diligence on investment transactions, and discovery requests
Qualifications
Required Qualifications:
Juris Doctor degree
License to practice law in at least one state
Three to four years of experience practicing law
Experience drafting and negotiating contracts
Experience advising clients and handling multiple projects in a fast-paced and constantly changing environment
Exceptional drafting skills, with experience drafting contract language that is clear, concise and easily understood
Preferred Qualifications:
Experience in health care or with clients that are health care providers such as surgery centers, hospitals or physician groups
Experience with corporate transactions and work with partnerships, LLCs, and other joint ventures
